Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Gavel AI mobile application and related services (collectively, the "Service") operated by Gavel AI ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for ensuring your use complies with applicable laws in your jurisdiction.

2. Accounts

You may sign in using Apple, Google, or other supported identity providers. You are responsible for maintaining the security of your device and account credentials. You must provide accurate profile information and promptly update it when it changes.

3. Subscriptions and billing

Paid plans are billed through the Apple App Store or Google Play, as applicable, and processed by our subscription partner RevenueCat. Pricing, renewal terms, and cancellation are governed by the store's policies and the plan you select. Subscriptions renew automatically unless canceled before the renewal date in your store account settings.

Free and paid tiers include usage limits (for example, AI cataloging requests per month). We may change plan features or limits with reasonable notice where required by law or store policy.

4. Your content

You retain ownership of photos, auction data, lot descriptions, and other content you upload ("User Content"). You grant us a limited license to host, process, transmit, and display User Content solely to operate and improve the Service — including AI cataloging, export, backup, collaboration, and retention workflows you enable.

You represent that you have the rights necessary to upload User Content and that it does not violate third-party rights or applicable law.

5. AI-generated output

The Service uses automated systems to suggest titles, descriptions, categories, and estimated values for auction lots. AI output may be inaccurate or incomplete. You are solely responsible for reviewing, editing, and approving all catalog data before export or publication. AI suggestions are not professional appraisals, valuations, or legal advice.

6. Acceptable use

You agree not to:

• Use the Service for unlawful, fraudulent, or abusive purposes
• Upload malware, infringing material, or content you do not have rights to use
• Attempt to reverse engineer, scrape, or disrupt the Service or its infrastructure
• Circumvent usage limits, security controls, or subscription restrictions
• Share account access in a way that violates your plan's seat or collaboration limits

7. Collaboration and enterprise features

If you invite collaborators or manage an organization, you are responsible for their activity under your account or organization. Organization owners may manage member access in accordance with plan limits.

8. Data retention and deletion

Auction lifecycle rules (including automatic archiving and storage purge after retention periods) are described in our Privacy Policy. You may delete your account at any time from the app. We may suspend or terminate access for violations of these Terms.

9. Third-party services

The Service integrates with third parties such as Supabase (hosting), OpenAI (AI processing), Google (sign-in and optional Drive export), Apple (sign-in and billing), and RevenueCat (subscriptions). Your use of those services may be subject to their separate terms and policies.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAVEL AI AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) USD $100.

12. Changes

We may update these Terms from time to time. We will post the revised version with a new effective date. Material changes may also be communicated in-app. Continued use after changes become effective constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence apply.
